Terms of Service
These terms govern the professional business and consulting services provided by C U Soon Pty Ltd. Please read them carefully before engaging our services.
1. About These Terms
These Terms of Service ("Terms") apply to all services provided by C U Soon Pty Ltd (ABN 90 703 121 895), located in Melbourne VIC, Australia ("we", "us", "our"). By engaging our services, accepting a written proposal, or making payment for any service, you ("you", "the client") agree to be bound by these Terms.
If any part of these Terms conflicts with a signed agreement between you and us, the signed agreement will take precedence to the extent of the conflict.
2. Services
We provide professional business and consulting services, which may include business advisory, strategic planning, operational reviews, and related consulting support. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a written proposal, statement of work, or engagement letter.
Any estimates of time, cost, or outcomes provided before an engagement begins are indicative only and are not binding unless expressly agreed in writing.
3. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information reasonably required for the delivery of the services;
- Respond to requests for feedback or decisions within reasonable timeframes;
- Ensure you have the right to share any documents, data, or materials you provide to us;
- Comply with all applicable laws in connection with the engagement.
Delays caused by incomplete or late information may affect timelines and, where applicable, fees.
4. Fees and Payment
Fees for our services will be set out in your proposal or engagement letter. Unless otherwise agreed in writing:
- Invoices are payable within fourteen (14) days of the invoice date;
- All amounts are stated in Australian dollars (AUD) and include GST where applicable;
- Overdue amounts may accrue interest and we may suspend or terminate services until payment is received;
- Disbursements and third-party costs incurred on your behalf will be passed on with your prior approval where practicable.
5. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any other applicable legislation. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including guarantees as to due care and skill and fitness for purpose where applicable.
To the extent permitted by law, and except as required under the Australian Consumer Law, we are not liable for any indirect, incidental, or consequential loss arising from the services.
6. Intellectual Property
All pre-existing intellectual property belonging to either party remains the property of that party. Unless otherwise agreed in writing, upon full payment, you receive a licence to use the deliverables prepared specifically for you for your internal business purposes. We retain ownership of our methodologies, templates, tools, and know-how.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement and to use it only for the purposes of the engagement. This obligation does not apply to information that is publicly available, required to be disclosed by law, or was already known to the receiving party without a duty of confidentiality.
8. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Please refer to our Privacy Policy for details on how we collect, use, and protect your information.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or in connection with our services is limited to the fees paid by you for the service giving rise to the claim. Where the Australian Consumer Law applies and cannot be excluded, our liability is limited, at our option, to the re-supply of the services or the cost of having the services re-supplied.
We are not liable for losses arising from reliance on information or advice outside the agreed scope of the engagement, or from your failure to provide accurate and complete information.
10. Termination
Either party may terminate an engagement with fourteen (14) days' written notice, unless a shorter or longer period is agreed in the engagement documentation. Upon termination, you agree to pay for all services performed and costs incurred up to the date of termination.
11. Governing Law
These Terms are governed by the laws of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
12. Changes to These Terms
We may update these Terms from time to time. The current version published on this website applies to new engagements. For ongoing engagements, the version in effect at the time of the engagement will apply unless otherwise agreed.
